Bylaws of the Wings of Rogallo Northern California Hang Glider Association

Article I Name and Purpose

Section 1 The name of the association is the Wings of Rogallo Northern California Hang Glider Association, Hereafter referred to as Wings of Rogallo or WOR.

Section 2 The purpose of WOR is to provide an organization to improve the sport of hang gliding by

1) acquiring and preserving flying sites by working with governmental agencies or private individuals,

2) promoting safety and providing assistance to less experienced pilots,

3) improving the public image of the sport and

4) holding meetings, competitions and activities to foster the exchange of information among flyers.

 

Article II Membership

Section 1 A member of WOR is an individual who has filed an application for membership with the Treasurer and whose dues are paid.

Section 2 A full member will receive a newsletter and may vote as provided in these bylaws.

Section 3 – Section deleted –

Section 4 A new member joining WOR in the first six months of the year pays the full annual dues amount. A new member joining WOR in the seventh, eighth or ninth month of the year pays one-half of the annual dues amount. A new member joining WOR in the tenth, eleventh or twelfth month of the year pays nothing for the current year but must pay for the next full calendar year at the time of joining. All memberships expire at the end of December. All membership renewals require the payment of the full annual amount regardless of whether the membership has been allowed to lapse for several months after expiration.

Section 5 Honorary membership is awarded as special recognition of an outstanding individual in the sport of hang gliding, upon the recommendation of the Executive Board and the approval of a majority of members present at a meeting. Notification of a vote on an honorary member nomination must be published in the newsletter preceding the vote. Honorary members are accorded the privileges of a full member and are not required to pay membership dues

Article III Meetings

Section 1 Regular meetings of WOR are held each month for the purpose of conducting such business as may come before said meeting. The time, place and purpose of these meetings shall be selected by the Executive Board and published in the newsletter in time to be received by the members prior to the scheduled meeting. Business will be conducted by a majority vote of the members present except for specific matters described elsewhere in these bylaws.

Article IV Executive Board

Section 1 WOR business that cannot be effectively handled on a monthly basis at the regular meetings will be conducted by the Executive Board consisting of the WOR officers and the newsletter editor. The Executive Board will keep the membership informed of its activities and all actions are subject to review and approval by the membership of WOR. The executive Board will also perform the duties noted in the bylaws. Within the Executive Board issues will be decided by the majority vote of all board members.

Article V Officers

Section 1 The officers of WOR consist of the President, Vice-President, Secretary, Treasurer, Flight Director and Membership Services Director.

Section 2 The term of office is one year. Elections are held during the January club meeting of each year. The new officers will assume their duties on April first of that year. Candidates for office may be nominated or volunteer at the November and December meeting prior to the election meeting. All candidates must be WOR members and their nominations must be seconded by another WOR member. Each office must have at least two candidates available. The names of the candidates for office will be published in the newsletter prior to the election meeting but final candidates may be nominated at the election meeting prior to the voting. The election will be decided by a simple majority vote of the members present at the election meeting.

Section 3 Any officer vacancy shall be filled by a majority vote of the members at the earliest possible meeting.

Section 4 Each officer shall serve without compensation or reward, except as otherwise provided by these bylaws.

Section 5 The duties of the officers are as follows:

President- The President shall preside at all meetings and have general supervision of the management of all affairs of WOR. With the approval of the Executive Board, the President will appoint the Newsletter Editor, Committee Chairpersons and sign and execute all contracts in the name of WOR.

Vice-President- The Vice-President shall be vested with all the powers and perform the duties of the President in case of the absence or disability of the President and perform such duties as delegated to him by the Executive Board.

Secretary- The Secretary shall record and submit the minutes of all meetings to the Newsletter Editor, be responsible for meeting notices and keeping historical records of the club and shall perform other duties as delegated by the President.

Treasurer- The Treasurer shall manage the receipt and deposit of WOR funds, make disbursements authorized in budgets approved by the Executive Board, and prepare all required financial reports. The Treasurer will perform other duties as delegated by the President and make oral reports on the WOR financial status at each meeting.

Flight Director- The Flight Director is responsible for keeping the membership advised of all matters pertaining to flight safety and flying activities at sites in current use or contemplated for future use by WOR members. He is responsible for recommending WOR policy in all matters relating to safety, training and instruction. He reviews all rules and procedures for site operations and competition undertaken by WOR. He investigates and reports to members on significant accidents. He must be a USHGA Observer or Instructor holding an USHGA pilot proficiency rating of at least Hang IV or Hang V.

Membership Services Director- The Membership Services Director is responsible for accepting applications for membership, keeping records of membership applications, expirations and renewals plus the currency of site waivers and USHGA membership. The Membership Services Director will transfer to the Treasurer all funds derived from membership applications, renewals and sticker donations plus perform other duties as delegated by the president. The Membership Services Director will also make oral reports on WOR membership status at each monthly club meeting.

Section 6 Removal from Office An officer may be removed from office for cause, such as violation of bylaws of WOR or for conduct prejudicial to the best interests of WOR. Such action shall require the affirmative vote of all the other officers.

Article VI Committees

Section 1 Committees may be formed by the President at any time he deems necessary. Committee Chairpersons are appointed by the President subject to veto by the Executive Board. The members are appointed to or dropped from the committee by the Committee Chairperson with the approval of the President. Committees function as special groups organized to carry out specific activities of the club. Committee actions or decisions affecting the club membership must be submitted to the membership for approval by majority vote. The Executive Board may review committee actions as appropriate.

Article VII Newsletter

Section 1 The newsletter is published monthly by the Newsletter Editor. The newsletter will contain notification of future club meeting dates, times and locations, minutes of past meetings submitted by the Secretary and significant committee reports.

Section 2 Newsletter Editor- The Newsletter Editor is responsible for all the activities necessary to publish the WOR Newsletter on a monthly basis. This includes organizing, composing, printing and distribution of contributed material for the newsletter which is to be received by the members in advance of each monthly meeting. The Editor is appointed by the President subject to the approval by the Executive Board.

Article VIII Amendments

The bylaws may be amended with the approval of two-thirds of the membership present at a meeting. An amendment may be proposed by a majority of the Executive Board or by a petition of twenty percent of the membership. All amendments must be published in full in the newsletter and the date of the meeting at which the vote will be taken must be published prior to the meeting.

Note: The WOR bylaws reprinted above were originally published in the Sept 16, 1980 issue of the WOR Newsletter. They were subsequently approved by a vote of members present at the Oct 21, 1980 meeting

Amendment 1: Article V – Officers (Proposed Nov 1990, Approved Dec 1990 WOR Meeting) Section 2 Election month changed from the “third month” to “January club meeting”. Added “The new officers will assume their duties on April first of that year” Added “November and December”

Amendment 2: Article V – Officers (Proposed Sep 2000, Approved Nov 2000 WOR Meeting) Section 1 Added Membership Services Director to the list of WOR officers: “The officers of WOR consist of the President, Vice-President, Secretary, Treasurer, Flight Director and Membership Services Director.” Section 5 Added Membership Services Director responsibilities: “Membership Services Director- The Membership Services Director is responsible for accepting applications for membership, keeping records of membership applications, expirations and renewals plus the currency of site waivers and USHGA membership. The Membership Services Director will transfer to the Treasurer all funds derived from membership applications, renewals and sticker donations plus perform other duties as delegated by the president. The Membership Services Director will also make oral reports on WOR membership status at each monthly club meeting.” Section 5 Removed Membership Services Director duties from the Treasurer’s responsibilities: “accept applications for membership, keep records of membership applications, expirations and renewals.” And “make oral reports on the WOR membership”

Amendment 3: Article II – Membership Section 3. Deleted: A member of the immediate family of a WOR member, residing in the same household, may become a “family member” by filling out an application for membership and by paying one-half the full membership dues. A family member is accorded voting privileges but does not receive a newsletter. The committee recommends deletion of this article of the bylaws. The logic behind the original Section 3 is the cost of the mailed copies of FlightLine. Family memberships were to cost less because only one copy of FlightLine would be mailed to families. Since mailed FlightLines now have a charge separate from the membership dues, this Section is no longer valid. Section 4: Changed from: A new member joining WOR in the first three months of the year pays the full annual dues amount. A new member joining the club after the first three months of the year pays the annual dues amount less 10% of the annual dues for each month beyond the third month of the year. The logic behind Section 4 is to prorate membership dues for new members. However, for a given annual dues amount the calculation of the amount of dues owed can be fairly complex. The committee recommends this change to simplify the calculation of amount of dues owed. The financial effect of this change would depend on acceptance of the other dues amount recommendations to be discussed in the December [2004] WOR meeting. This recommendation will serve to simplify the dues structure and promote continued membership for members joining late in the year.
